Terms of Service & Broadcaster Agreement

    1. Definitions

    "Service"The suite of tools including live stream hosting, VOD management, embed code generation, and public directory listing
    "Viewer"Any end-user who watches or listens to content through the Platform's public hub or embedded players

    2. Account Registration & Eligibility

    • Broadcasters must be legally registered entities or authorized representatives of a broadcasting organization.
    • You must provide accurate, complete information during registration including legal entity name, country of operation, and a valid contact email.
    • Each station account is for one broadcasting entity. Sharing credentials or creating multiple accounts for the same entity is prohibited.
    • You are responsible for all activity under your account credentials. Notify Streamduct immediately of any unauthorized access.

    3. Subscription & Payment Terms

    • Plans: Streamduct offers tiered subscription plans with varying limits on channels, VOD uploads, and analytics features.
    • Billing Cycle: Subscriptions are billed monthly or annually, as selected at signup. All fees are due in advance.
    • Price Changes: Streamduct may adjust pricing with 30 days' written notice. Continued use constitutes acceptance.
    • Taxes: All fees are exclusive of applicable taxes. Broadcasters are responsible for taxes in their jurisdiction.
    • Late Payment: Accounts with overdue payments may be restricted or suspended after 14 days.
    • No Refunds: Fees are non-refundable except where required by applicable law or at Streamduct's sole discretion.

    4. Acceptable Use Policy

    You MAY:

    • Stream live TV and radio content you own or have licensed
    • Upload VOD content with proper rights clearance
    • Use embed codes on your own websites and authorized partner sites
    • Access analytics for your own station's content

    You MAY NOT:

    • Stream content that infringes third-party intellectual property rights
    • Broadcast content that is illegal, obscene, defamatory, or incites violence or hatred
    • Use the Platform for unauthorized retransmission of third-party broadcasts
    • Attempt to reverse-engineer, scrape, or exploit Platform infrastructure
    • Resell or sublicense Platform access to third parties without written consent
    • Upload malware, scripts, or exploits disguised as media content
    • Circumvent any access controls, rate limits, or security measures
    • Use the service for any purpose that violates broadcasting regulations in your country of operation

    5. Content Responsibility & Ownership

    • Ownership: Broadcasters retain full ownership of all Content. Streamduct claims no intellectual property rights over your media.
    • License Grant: By using the Platform, you grant Streamduct a limited, non-exclusive, royalty-free license to transmit, cache, and display your Content as necessary to operate the Service; display station name, logo, and thumbnails in the public directory; and generate preview images and metadata for discovery purposes.
    • You represent and warrant that you own or hold valid licenses for all Content you stream or upload, your Content does not infringe any copyright, trademark, or other rights, and you have obtained all necessary music performance rights.
    • No Monitoring Obligation: Streamduct does not pre-screen Content. However, we reserve the right to remove Content that violates these Terms.

    6. Copyright & DMCA Compliance

    • Streamduct respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA) and equivalent international frameworks.
    • Takedown Process: Rights holders may submit takedown notices to our designated agent. Valid notices must include identification of the copyrighted work, URL of the infringing content, and contact information with a good-faith statement.
    • Counter-Notification: Broadcasters may file a counter-notice if they believe content was wrongly removed. Content may be restored after 10–14 business days.
    • Repeat Infringers: Accounts receiving three (3) valid DMCA strikes within a 12-month period will be permanently terminated.

    7. Suspension & Enforcement

    Streamduct may immediately suspend a Broadcaster's account without prior notice if:

    • Content poses a legal risk to the Platform or its users
    • There is evidence of copyright infringement or illegal activity
    • The stream is used for hate speech, incitement, or violence
    • The account is involved in fraudulent activity or misrepresentation
    • There is a security breach or unauthorized use of Platform resources

    For non-emergency violations, Streamduct will provide 48 hours' notice and an opportunity to cure before suspension. During suspension, live streams will be taken offline, public listings hidden, and embed codes will display a "temporarily unavailable" message.

    8. Data Usage & Privacy

    • Platform Data Collection: Streamduct collects account information (entity name, contact details, country), usage analytics (stream uptime, view counts), and technical logs (IP addresses, API calls).
    • Purpose Limitation: Data is used exclusively for providing and improving the Service, generating anonymized analytics, communicating service updates, and complying with legal obligations.
    • No Sale of Data: Streamduct does not sell Broadcaster data to third parties.
    • Viewer Data: Streamduct collects minimal, anonymized viewer data. Broadcasters independently collecting viewer data are solely responsible for privacy law compliance.
    • Data Retention: Upon account termination, data is retained for 90 days for backup, then permanently deleted unless legally required.
    • Compliance: Streamduct operates in compliance with applicable regulations including GDPR, POPIA (South Africa), and NDPR (Nigeria).

    9. Platform Liability & Disclaimers

    • As-Is Service: The Platform is provided "as is" and "as available" without warranties of any kind, express or implied.
    • No Uptime Guarantee: Streamduct strives for high availability but does not guarantee uninterrupted service.
    • Limitation of Liability: Total liability shall not exceed the fees paid by the Broadcaster in the 12 months preceding the claim.
    • Streamduct is not liable for loss of revenue due to interruptions, content removed by valid takedown notices, actions by third-party services, or viewer behavior.

    10. Termination

    • By Broadcaster: You may terminate at any time with 30 days' written notice. Prepaid fees are non-refundable.
    • By Streamduct: We may terminate with 30 days' notice for convenience, or immediately for material breach or upon the third DMCA strike.
    • Effect: All streams cease, embed codes stop functioning, VOD is removed from public directory. Broadcasters may export metadata for 30 days post-termination.
    • Survival: Sections on liability, indemnification, intellectual property, and dispute resolution survive termination.

    11. Indemnification

    Broadcasters agree to indemnify and hold harmless Streamduct, its officers, employees, and partners from any claims, damages, or expenses (including legal fees) arising from Content streamed or uploaded, violation of these Terms, infringement of third-party rights, or misuse of the Platform.

    12. Dispute Resolution

    • Informal Resolution: Parties will first attempt good-faith negotiation for 30 days.
    • Mediation: If negotiation fails, disputes will be submitted to mediation.
    • Arbitration: Unresolved disputes will be settled by binding arbitration.
    • Governing Law: These Terms are governed by the laws of the Platform's jurisdiction of incorporation.

    13. Modifications

    Streamduct may modify these Terms at any time. Material changes will be communicated via email and in-dashboard notification at least 30 days before taking effect. Continued use constitutes acceptance.
